Trace is an intermediary platform owned and managed by NurseryCo R&P Limited (“NurseryCorp.”, “the Company”), that provides independent sellers (“Vendors”) with the tools and service to update their customers (“Users”/“Customers”) on the status of their orders in real-time. Trace is not responsible for order fulfilment. Vendors, not Trace, are solely responsible for order fulfilment.
These Terms of Use set out the terms and conditions that govern the usage of Trace (the “Platform”). By using the Platform, you acknowledge these terms of use and agree to be bound by them.
Trace reserves the right to modify, or otherwise update these terms of use at any time and you agree to be bound by such modifications or updates. It is your responsibility to review the terms and conditions at the time of usage.

Trace is free to use for now. Payment to use Trace, or certain features of the Platform, may be required in the future.
Where fees are introduced, the Company will provide notice through the Platform and/or via email before such fees take effect. Your continued use of the Platform after such fees take effect constitutes your acceptance of the applicable fees. If you do not agree to the applicable fees, you must stop using the affected services.
All trademarks, logos, and content displayed on the Platform are the exclusive property of their respective owners and are protected under applicable intellectual property laws. Unless otherwise specified, you must not reproduce, distribute, modify, or display any content from the Platform without permission.
You agree not to use, or attempt to use, any automated tools or methods — including but not limited to data scrapers, bots, crawlers, or similar technologies — to access, extract, monitor, or interact with the Company's platform, systems, or data without the Company's prior written authorization.
Your use of the Platform shall not include any attempt to reverse-engineer, decompile, disassemble, modify, reproduce, redistribute, imitate, or otherwise exploit any aspect of the platform. This includes, but is not limited to, its source code, user interface and user experience design, visual elements (including icons), written content, and underlying algorithms.
Any unauthorized use as described above is strictly prohibited and may result in the immediate suspension or permanent termination of access to the Company's services, without notice. The Company reserves the right to pursue all available remedies under applicable law, including but not limited to civil claims, injunctive relief, and, where applicable, criminal prosecution.

These Terms of Use shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to any conflict of law principles of the jurisdiction from which the Platform is accessed.
Where possible, you consent to the personal and exclusive jurisdiction of the courts located within Nigeria, provided that where the Company is the defendant, such dispute shall be subject to the exclusive jurisdiction of the courts of Kogi State, Nigeria.
Where any provision of these Terms of Use, or any part thereof, is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.
Where applicable, any invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent and economic effect of the affected provision. The remaining provisions of these Terms shall continue in full force and effect.
